The following terms and conditions (these "Terms and Conditions") contain important information regarding the Toolstoday ("Sponsor") Rewards program (the "Program"). Please read the following terms and conditions carefully. These Terms and Conditions are a binding agreement between you and Sponsor and will govern your participation in any and all Program offers.
Being eligible for the Program entitles Toolstoday Customers ("Customers") to take advantage of certain Program offers and/or points that may change from time to time (the "Program Offers/Points"), and which may be made available for limited times, all as determined by Sponsor in its sole discretion. Sponsor reserves the right to modify these Terms and Conditions at any time, without notice to you, so it is important to check these Terms and Conditions periodically. Participation in the Program and/or redemption of Program Offers/Points is considered acceptance of these Terms and Conditions and any modified terms included therein. Sponsor may, in its sole and absolute discretion, cancel, change, suspend or modify any aspect of the Program and/or any Program Offer/Points at any time, including the availability of any Program Offer/Points, without notice.
Eligibility
To be eligible for Program Offers/Points, you must purchase products from Toolstoday and create an account at Toolstoday.com (there is no fee for creating an account) which will be subject to the terms of use for Toolstoday accounts and the Toolstoday privacy policy (as amended) located at https://www.toolstoday.com/t-privacy.
Termination
Sponsor may, in its sole and absolute discretion, cancel, change, suspend or modify any aspect of the Program and/or any Program Offer/Points at any time, including the availability of any Program Offer/Points, without notice. Sponsor may, in its sole and absolute discretion, terminate or suspend any Subscriber's participation in the Program for breach of these Terms and Conditions, or for taking any actions that are inconsistent with the intent of these Terms and Conditions. Sponsor shall be the sole determiner in cases of suspected abuse, fraud, or breach of these Terms and Conditions or intent of these Terms and Conditions. Any decision Sponsor makes relating to termination or suspension of any Subscriber's participation in the Program shall be final and binding in all respects.
General
The Program and/or the Program Offers/Points are void where prohibited or taxed by law. Sponsor is not responsible for any failures or circumstances affecting, disrupting or corrupting the Program of the Program Offers/Points in any manner including without limitation, Subscribers' ability to participate in the Program or any Program Offers/Points. Sponsor is not responsible for unavailable network connections; failed, incomplete, garbled or delayed computer transmissions; online failures; hardware, software or other technical malfunctions or disturbances; or any other communications failures or circumstances affecting, disrupting or corrupting the Program in any manner and Sponsor is also not responsible for any damage to any Subscriber's computer occasioned by participation in the Program or downloading of any information necessary to participate in the Program. By participating in the Program, Subscribers release Sponsor, its parent, subsidiaries, affiliates, suppliers, and agents from any and all liability for any loss, harm, damages, cost or expense, including without limitation property damages, personal injury and/or death, arising out of participation in the Program and the use of or participation in any Program Offers/Points. Sponsor makes no warranty in any respect as to any merchandise or service available within the Program. Under no circumstance will merchandise or any service be refunded or exchanged. Program Offers/Points may be taxable, depending on the federal, state, and local tax laws applicable to you. You are solely responsible for reporting such items on your tax returns and paying any associated tax liability. You may not assign or transfer any Program Offers/Points.
Subscribers are responsible for maintaining the confidentiality of their account username and password. Sponsor has no control over the Internet and cannot prevent the interception of messages by unauthorized parties or guarantee that such unauthorized parties may not be able to decrypt encrypted messages. Accordingly, under no circumstances will Sponsor be responsible for any loss or damage incurred by any Subscriber as the result of unauthorized interception or decryption of information transmitted to or by Sponsor. Subscribers must immediately notify Sponsor of any known or suspected unauthorized use(s) of a Subscriber's account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of Subscriber's password. Personal nonpublic information that we gather from you in connection with the Program or otherwise will be governed by our Privacy Policy, and your use of the Toolstoday website and setting up a Toolstoday account will otherwise be governed by Toolstoday's Terms of use, available at https://www.toolstoday.com/terms-policy.
